We, Gigo Live ("Company", "we", "us", or "our"), welcome you to our website located at www.gigolive.com ("Site"). By accessing this Site or using any of our services, products, software, applications, or related solutions ("Services"), you ("User", "Client", "you") agree to be bound by the following Terms of Use ("Terms", "Agreement"). Please read these Terms carefully, as they establish a legally binding agreement between you and Gigo Live governing your use of our Site and Services. If you do not agree to these Terms, you must refrain from using the Site or engaging with our Services.

1. Scope of Services

Gigo Live provides:

  • Development and licensing of pre-built mobile and web applications
  • Sale of software source code and associated assets
  • Customization and white-labeling of existing products
  • Deployment, maintenance, and support services
  • Software consulting, integrations, and UI/UX enhancements

All services are subject to the terms agreed upon in a separate service agreement, proposal, or invoice between the parties.

2. Ownership and Intellectual Property

Unless expressly stated otherwise in a separate, duly executed agreement:

Gigo Live retains full and exclusive ownership of all intellectual property rights in and to its pre-built applications, source code, design systems, user interface elements, software architecture, tools, frameworks, and any enhancements, improvements, or modifications made—regardless of whether such modifications were requested or funded by the client.

Clients who purchase pre-built source code or customizations from Gigo Live are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use, deploy, and operate the delivered software for their own internal business purposes, including usage across multiple apps or projects under their own brand.

However, clients are strictly prohibited from reselling, redistributing, sublicensing, or making the source code available to any third party, either in whole or in part, in any form—whether modified or unmodified. This restriction applies to all components of the delivered software, including underlying code, backend systems, UI/UX designs, and associated documentation.

Any breach of this provision will be deemed a material violation of these Terms and may result in immediate legal action, termination of the license, and potential damages.

Client-provided assets such as brand name, trademarks, logos, and proprietary content shall remain the sole property of the client and will not be used by Gigo Live beyond the scope of service delivery.

3. Use Restrictions

You agree not to:

  • Copy, distribute, license, or sublicense Gigo Live's software, code, or materials without prior written authorization
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any proprietary software not explicitly licensed in source form
  • Remove or obscure any copyright, trademark, or proprietary notices on the software or related documentation
  • Use the Services for any unlawful purpose, to infringe on the rights of any third party, or in a manner that violates any applicable laws or regulations

4. Client Responsibilities

Clients engaging Gigo Live for Services agree to:

  • Provide accurate, complete, and timely information as requested during the course of the engagement
  • Cooperate in good faith during development, review, and delivery cycles
  • Respect the intellectual property and business interests of Gigo Live as outlined in these Terms
  • Make timely payments as per agreed terms in invoices or service agreements

Failure to comply with these obligations may result in delays, additional charges, or suspension of Services.

5. Payments and Fees

All fees and charges for Services shall be communicated in writing via quotes, invoices, or contracts. Unless otherwise agreed:

  • Payments are due in the currency and timeline specified in the invoice
  • Late payments may incur interest charges or result in suspension of work
  • Project files, final source code, or deployment will be withheld until full payment is received
  • Fees paid are non-refundable unless explicitly agreed in writing

Gigo Live reserves the right to change pricing for future engagements or service offerings at its sole discretion.

6. Disclaimer of Warranties

All Services, software, and content provided by Gigo Live are offered "as is" and "as available", without warranties of any kind, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuity or compatibility with future operating systems or devices

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. Any reliance on the Services is at your own risk.

7. App Security

We, Gigo Live, are committed to implementing commercially reasonable technical, administrative, and organizational measures to protect the integrity, confidentiality, and security of the mobile and web applications we develop and deliver, whether pre-built or customized.

This includes but is not limited to:

  • Use of secure coding practices during development
  • Regular code reviews, vulnerability assessments, and penetration testing
  • Data encryption in transit
  • Authentication and authorization mechanisms to prevent unauthorized access
  • Compliance with platform-level security standards
  • Secure integration of third-party SDKs, APIs, and plugins

However, due to the nature of software and digital systems, no application or infrastructure can be guaranteed to be 100% secure. Gigo Live disclaims all liability for any security breach, data loss, or unauthorized access resulting from factors beyond our reasonable control, including but not limited to:

  • User-side misconfigurations or weak credentials
  • Hosting provider outages or third-party breaches
  • Custom modifications made by clients after delivery
  • Insecure third-party tools or libraries added post-deployment

Clients are responsible for:

  • Keeping their application credentials, admin access, and server configurations secure
  • Ensuring secure hosting and deployment environments
  • Reporting any suspected vulnerabilities or incidents immediately to support@gigolive.com

By using our Services or applications, you acknowledge and accept these inherent security limitations and agree to take all reasonable measures to protect your own systems and data.

8. Limitation of Liability

To the maximum extent permitted by law, Gigo Live shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  • Loss of data
  • Business interruption
  • Lost profits or revenue
  • Third-party claims
  • Delays in delivery or deployment

In any case, Gigo Live's aggregate liability shall be limited to the total amount paid by the client for the specific Service giving rise to the claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes, but is not limited to:

  • Business plans
  • Product concepts
  • Technical documentation
  • Financial details

This clause shall survive the termination of any agreement for a period of two years.

10. Termination

Gigo Live may terminate access to the Site or Services at any time, with or without notice, for violation of these Terms, non-payment, or unlawful use. Upon termination:

  • All rights granted to you under these Terms shall cease
  • You must immediately stop using any non-licensed or unpaid Services or software
  • Any outstanding fees shall become immediately due and payable

11. Third-Party Services

Our Site or Services may integrate with third-party tools or platforms, such as hosting providers, analytics tools, and payment gateways. Gigo Live is not responsible for the actions, content, or data practices of any third-party service. Use of such platforms is governed by their respective terms and privacy policies.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

13. Amendments

Gigo Live reserves the right to modify, update, or revise these Terms at any time. We will post the most current version on our website. Continued use of the Site or Services after such updates constitutes acceptance of the modified Terms.
